1. Introduction & Definitions

By accessing or using the Website, you ("you" or "your") agree to be bound by these Terms. If you do not agree, please do not use the Website.

Services are governed by a separate agreement.Our paid done-for-you outbound services (the "Services") are provided under a separate written Client Services Agreementsigned with each client. That agreement — not these Terms — sets out the scope, fees and payment, term and cancellation, intellectual property, confidentiality, warranties, liability, indemnity, and dispute resolution for an engagement, and it prevails over these Terms in the event of any conflict. These Terms govern your use of the Website only.

2. Website Use

You may use our Website for lawful purposes only. You agree not to use the Website in any way that is unlawful, or that could damage, disable, or impair the Website or interfere with anyone else's use of it.

Our Website may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of any third-party sites. Accessing linked sites is at your own risk.

3. Our Services

JuvoAI provides done-for-you B2B outbound lead generation — we build and run an outbound email system on a client's behalf to book qualified meetings with their ideal customers. Information about the Services on this Website is for general guidance only and does not form part of any contract.

We do not guarantee a specific number of meetings or replies, or any particular business outcome. Any engagement is subject to a signed Client Services Agreement, which governs the relationship as described in Section 1.

4. Acceptable Use & Compliance

  • When we run outreach for a client, we do so on that client's behalf and with their authorisation, representing their business and offer.
  • We maintain reasonable sending and deliverability practices, including honouring opt-out and unsubscribe requests.
  • Each party is responsible for complying with the laws applicable to it, including applicable anti-spam, electronic-marketing, and data protection laws (which may include, for example, the CAN-SPAM Act, CASL, the GDPR, the Spam Act 2003 (Cth), and Singapore's PDPA).
  • We may decline, pause, or suspend any campaign, offer, or content we reasonably consider unlawful, harmful, or likely to damage sending reputation.

5. Intellectual Property

All content on this Website — including text, graphics, logos, images, and software — is the property of JuvoAI Pte. Ltd. or its suppliers and is protected by applicable intellectual property laws. You may not copy, reproduce, or republish it without our written permission.

Ownership of materials, systems, and deliverables relating to an engagement is dealt with in the Client Services Agreement, not these Terms.

6. Warranties & Disclaimers

To the maximum extent permitted by applicable law, we make no warranties, express or implied, regarding the Website's accuracy, reliability, or availability. Nothing in these Terms excludes or limits any rights you have that cannot be excluded under applicable law.

7. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, or consequential loss arising from your use of, or inability to use, the Website. Our liability in connection with the Services is governed by the Client Services Agreement. Nothing in these Terms limits any liability that cannot be limited under applicable law.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore.

9. Dispute Resolution

Any dispute arising out of or in connection with these Terms or your use of the Website is subject to the exclusive jurisdiction of the courts of Singapore. Disputes arising out of an engagement for the Services are resolved as set out in the Client Services Agreement (which provides for arbitration in Singapore), and that mechanism prevails for those disputes.

10. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy, are the entire agreement regarding your use of the Website. They do not replace the Client Services Agreement, which governs the Services.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
  • No waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
